These terms and conditions apply to all contracts and usage relationships between NClip GmbH,c/o Reach Media, Im Mediapark 5d, 50670 Cologne, Germany (hereinafter referred to as “NClip”), and the users of the platform. NClip GmbH is legally represented by Managing Director Adrian Wilbrandt.
The platform "NClip" is provided as a web app and is aimed at content creators, viewers (fans), and companies wishing to engage their target audience through social media interactions.
The use of the platform is restricted to individuals who are of legal age or those acting with the consent of their legal guardians. By registering, the user confirms that all provided information is accurate and complete, and that participation in giveaways complies with the legal requirements of their respective country.
By registering on the platform and accepting the terms and conditions, a user agreement is concluded. Paid services (e.g., subscription plans for creators) only become effective upon selecting a corresponding tariff and confirming the payment obligation.
NClip provides a gamified interaction platform where creators can define so-called quests for their communities. Participants earn tickets for completing these quests, which can then be redeemed for giveaway entries.
Creators can connect their platforms such as Twitch or Instagram directly to NClip, enabling the automated generation and verification of quests. Additional platforms like YouTube, TikTok, X, and Discord will be integrated gradually.
Quests are either verified automatically via platform APIs or—if not technically feasible—via an AI-supported screenshot upload. Creators may also review and approve quest submissions manually.
Basic features of the platform are available free of charge. Creators can access extended features via different subscription plans. Current prices and features are listed within the user account dashboard.
Billing occurs monthly or annually, depending on the selected plan. Payments can be made using common methods such as credit card, SEPA direct debit, or PayPal.
In the event of payment default, NClip reserves the right to restrict or pause access to premium features.
Consumers have a statutory right of withdrawal within 14 days (see separate withdrawal policy below). This right expires for digital content once the user explicitly agrees to early execution before the end of the withdrawal period.
Subscriptions can be canceled at any time with 14 days' notice before the end of the current billing period. Any prepaid amounts for future usage periods will be refunded on a prorated basis.
All content, designs, and technologies on the platform are protected by copyright. Creators and users retain ownership of their uploaded content but grant NClip a non-exclusive, worldwide license to use, display, and distribute this content within the scope of the platform.
NClip processes personal data in accordance with the GDPR and our privacy policy. This includes automated analysis of user activity via platform APIs as well as AI-based image verification (screenshot uploads), where applicable.
To ensure the integrity of giveaways, NClip employs various protective mechanisms including bot detection, screenshot validation, and manual creator verification. Prizes obtained via fraudulent or automated participation may be revoked and redrawn.
NClip is liable only for damages caused intentionally or by gross negligence. Liability for minor negligence is excluded unless it concerns essential contractual obligations or damages to life, body, or health.
Users agree to indemnify NClip from all third-party claims arising from unlawful use of the platform or violations of these terms and conditions.
NClip reserves the right to amend these terms at any time. Users will be notified of significant changes. Continued use of the platform after such notification constitutes acceptance of the updated terms.
These terms shall be governed by the laws of the Federal Republic of Germany. The place of jurisdiction for all disputes shall be Cologne, insofar as permitted by law.

If you are a consumer within the meaning of § 13 BGB, you have the right to withdraw from this contract within 14 days without providing any reason.
The withdrawal period begins at the time of contract conclusion or, in the case of goods, upon receipt. To meet the deadline, it is sufficient to send the withdrawal notice before the end of the period.
If you withdraw from this contract, we will refund all payments received from you within 14 days from the day we received your notice. The refund will be made using the same payment method used in the original transaction.
